I understand that counsel are often unwilling to make their transaction precedents available to outsiders, but I am teaching a course on Mergers and Acquisitions this fall and I am trying to give it a more practical/transactional spin. Towards that end, I am looking for samples of the following:
- Letter of intent
- Confidentiality agreement
- Merger agreement
- Sale of all or substantially all assets agreement
- Stock purchase agreement
- Asset lock-up option agreement
- Stock lock-up option agreement
I would be willing to respect any limits you wish to put on my use of these documents, provided that I am able to share them with my students. They will be placed on an intraweb that is unavailable to persons without a UCLA law school account and they will be removed therefrom at the end of each semester in which they are used.
