So PeopleSoft has finally agreed to be acquired by Oracle. Quick thoughts: It proves hostile takeovers will work in the technology sector. In the boom days, you couldn't do hostile takeovers because your main asset was the people who worked for the target and they could easily jump ship. Today, they have few places to go, which makes consolidation much easier and hostile tactics viable. You can risk alienating some of the target's employees, because they don't have zillions of alternative employment options anymore.
Delaware Vice Chancellor Leo Strine won't get the chance to strike down the poison pill, as the litigation presumably will settle. I don't know how Strine was going to do it, given the clear Delaware supreme court precedents upholding the pill, but he's a very smart guy who likely would have come up with an interesting idea.
