Larry Ribstein reports on the new version of the Uniform Limited Liability Company Act. In brief, he's not a fan. But this presents a problem for my coauthors and I with respect to our compilation of Business Associations statutes. Currently, we include the 1997 version of the ULLCA. As Larry notes, however, it's been adopted only in a few states. If Larry's right about the 2006 version, it isn't likely to do much better. So what LLC statute do we include in the statute book? Including multiple statutes isn't an option, because we are determined to keep the length of this compilation down to a minimum (you could kill somebody with most of our competitors, which routinely weigh in at what must be 10+ pounds). Thoughts?
