Lipton's advice for boards in 2013

Famed corporate lawyer Martin Lipton has posted the 2013 edition of his annual "Some Thoughts for Boards of Directors," which highlights the key governance and legal issues boards will face in the upcoming year. As has been the case in recent years, much of his attention is devoted to shareholder activism. As always, it's a good read.
