In which sometime guest poster J.W. Verret and I debate the relative merits of the MBCA and the ALI

1. There is no ALI Restatement of the Law of Corporate Governance (yet). There is only a set of Principles of Corporate Governance.
2. The MBCA is actually the law in about 35 states. None that matter, but still.
