The Lowell Milken Institute for Business Law and Policy at the UCLA School of Law today celebrated ten years of training the next generation of leaders in business law with a mini-conference for alumni, practitioners, business executives and students. I was honored to be asked to serve on a panel with Kimberly Simpson, Chief Operating Officer and General Counsel, National Association of Corporate Directors, in which we were asked and answered a bunch of questions about corporate governance. In a series of posts below, I revise and extend my remarks:
What are major issues/challenges boards are facing in the next year or two?
What do we mean by the term “corporate governance”?
Do you think corporate culture has any role to play in effective governance?
Do you still support outsourcing the board?
How can lawyers get on boards of directors?
How should we respond to crises in corporate governance?
Caremark and the Board's Duty of Oversight
What do each of you see as the major challenges facing boards beyond the economy?
